TERMS AND CONDITIONS

These Terms and Conditions shall apply to the provision of all of The Handler's services.

Quotes

Quotes that The Handler has provided to you, will be valid for twenty-eight (28) days from the date of issue.

Acceptance of Quote

Acceptance of a quote also serves as acceptance of The Handler's Terms and Conditions. We accept the right to update the Terms and Conditions and content on the The Handler's website without prior notice.

Deposit

Upon client acceptance and approval, an initial 50% deposit is required for work to commence. The Handler reserves the right not to commence any work until the deposit has been paid in full.

Upon completion of the agreed work, either:

  1. The Handler will invoice the client for the remaining 50%; or
  2. The Handler will invoice the client for the total remaining outstanding balance if additional changes or features have been introduced during the project.

Final payment is due before any digital files are released, physical products are printed and released, or website is launched.

Deadlines

The Handler understands the importance of completing projects in a timely manner. However, any delays incurred by the client will cause a subsequent and equal delay in any agreed schedules, and will impede the ability to meet any deadlines previously agreed to at the beginning of the project.

Payment Terms

Payment is to be made within seven (7) days of the date of the invoice unless otherwise agreed with The Handler in writing.

If payment is outstanding the client accepts that all currently unpaid work will cease, and if the payment relates to a service provided by The Handler, that service will be suspended, until the account is settled.

Cancellation

Cancellation of projects may be made initially by phone or email, a formal notification in writing is then required within seven days. The client will then be invoiced for all work completed over and above the non-refundable deposit. The balance must be paid within seven days.

Ownership, Copyright and Master Files

Copyright ownership for all work - completed or otherwise, is retained by The Handler - including words, pictures, ideas, visuals and illustrations. Ownership will transfer to the Client only if this has been specifically agreed with the client and only when full payment for the project is received.

The Client does not automatically own any development files or development designs, but only a set of the finished artwork files. Upon completion of the project and upon full payment for services rendered, The Handler will provide the client with final PDF files as appropriate for printing, or other graphic files as detailed in the job scope.  Charges for design work does not cover the release of copyright design source files, including but not restricted to INND, PSD, AI, raw code or other source files; if the Client requires the source files, they will be subject to a separate quotation or ‘buy-out’ charge.

The Handler reserves the right to resell custom design and websites that remain unpaid by the original client. The Handler also reserve the right to resell unaccepted mock-ups. The Handler reserves the right to display all collateral that has been designed and/or built by The Handler on this website, and in any marketing material.

Software and third party graphics or programs are not transferred to the client, and remain under copyright of their respective owners or publishers. It is the responsibility of the Client to ensure that material provided to The Handler, including any text, logos and/or images are not subject to copyright. The ownership of such materials will remain with the client, or rightful copyright or trademark owner. The Handler takes no responsibility for issues arising due to using supplied material if it is found to be copyright to a third person or party.

Liability

The Handler's services are provided “as is” without warranty of any kind.  In no event shall The Handle be liable to the client for any direct, indirect, special, punitive, incidental, or consequential damages arising out of the use of their website, design services, web hosting and/or goods provided to the client. This includes, without limitation, lost profits, business interruption, loss of data or other losses directly resulting from the use of the website, services, and/or goods provided to the client. The entire risk as to the quality and performance of the graphic and/or web design work rests with the client.

Search Engine Performance (SEO)

As part of setting up your website, The Handler will undertake basic search engine optimisation (SEO) for you. However, we cannot and do not guarantee where your website will be ranked. Where requested, additional, ongoing specialist search engine work requested will be charged for.
